Minerva Health Technologies Inc. and its affiliates, subsidiaries and licensees (collectively referred to herein as “Minerva”) provide website features to you subject to the following terms and conditions (“Terms”). If you visit or interact with http://www.myminerva.com, you accept these Terms. Please read the following Terms carefully. In addition, when you use any current or future Minerva service or product you also will be subject to the guidelines, terms, conditions and agreements applicable to such service or product. If those guidelines, terms, conditions and agreements are inconsistent with the Terms stated herein, the guidelines, terms, conditions and agreements specifically associated with such service or product will control.

Electronic Communications

When you visit Minerva’s website, send e-mails or input your personal or health information, you are communicating with Minerva electronically and consent to receive communications from Minerva electronically. Minerva will communicate with you by e-mail or by posting notices on this site. You agree that all agreements, notices, disclosures and other communications that Minerva provides to you electronically satisfy any legal requirement that such communications be in writing. You may opt-out of Minerva communications by clicking the appropriate link.

All content included on this site, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations and compilation of all content on this site is the property of Minerva or its content suppliers and protected by United States and international copyright, trademark and other laws. All software used on this site is the property of Minerva or its software suppliers and protected by United States and international copyright laws. “Minerva Health Manager”, and other graphics, logos, page headers, button icons, scripts, and service names are trademarks, registered trademarks or trade dress of Minerva in the U.S. and/or other countries. Minerva’s trademarks and trade dress may not be used in connection with any product or service that is not Minerva’s, in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits Minerva. All other trademarks not owned by Minerva that appear on this site are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by Minerva.

License and Site Access

Minerva grants you a limited license to access and make personal use of this site and not to download (other than page caching) or modify it, or any portion of it, except with express written consent of Minerva. This site or any portion of this site may not be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without express written consent of Minerva. You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of Minerva without prior express written consent. You may not use any meta tags or any other “hidden text” utilizing Minerva’s name or trademarks without the prior express written consent of Minerva. Any unauthorized use terminates the permission or license granted by Minerva. You are granted a limited, revocable, and nonexclusive right to create a hyperlink to the home page of http://www.myminerva.com so long as the link does not portray Minerva, or its products or services in a false, misleading, derogatory, or otherwise offensive matter. You may not use any Minerva logo or other proprietary graphic or trademark as part of the link without express written permission.

Your Account

You may be permitted to create a personal account on Minerva’s website (“Account”). If applicable, you must create a username and password to log-in to your Account, as with the downloaded Product. You are solely responsible for maintaining the confidentiality of your Account by choosing a unique username and password, logging-out and closing all browser windows when finished with your session and restricting access to your computer. For greater security, you should use a password containing a combination of numbers and letters. You agree to accept responsibility for all activities that occur through your Account. Please refer to the Privacy Policy accompanying the Product for more information on protecting your confidential information.

Customer Service Communications

Users may e-mail comments and questions to Minerva for customer service and technical support. Minerva will not sell, rent or share your personal or health information without your express prior written consent, except if required to do so by Federal or state law. Please refer to the Privacy Policy for additional information.

Placing Orders; Payment Methods

Minerva sells and ships products to end user customers only. You may not purchase for resale. Minerva reserves the right to refuse or cancel your order if Minerva suspects you are purchasing for resale.

Minerva uses a secure website for billing purposes and your credit card information is safe when transmitted electronically to Minerva. After purchasing the Product be sure to print the purchase confirmation page and then close all browser windows, especially if using a public computer or a computer shared by others.

Minerva accepts most major credit cards as payment for the Product. When you use your credit card to make a purchase, Minerva may obtain a pre-approval from the credit card company for an amount up to the amount of the order. Billing to your credit card account occurs at the time of purchase or shortly thereafter. Minerva transactions will include sales tax, when applicable. Minerva accepts the following credit cards: Visa, MasterCard, Discover and American Express.

We are unable to accept credit cards issued by banks outside of the United States or prepaid gift cards issued by credit card companies. Additionally, debit cards and check cards have daily spending limits that may prevent the processing of your order.

If a transaction has been declined online due to credit card issues, please ensure all data is correct and resubmit. If the transaction is not accepted online, you will be unable to use that card for your transaction and should use another credit card.

The Product is sold to you subject to the EULA for the Product, and these Terms of Use. Software is licensed, not sold, and title to all software remains with Minerva.

Disclaimer of Warranties and Limitation of Liability

THE PRODUCT IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. THE ENTIRE RISK AS TO THE RESULTS AND PERFORMANCE OF THE PRODUCT IS ASSUMED BY YOU. SHOULD THE PRODUCT PROVE DEFECTIVE, YOU (AND NOT MINERVA, ITS DISTRIBUTORS OR DEALERS) ASSUME THE ENTIRE COST OF ANY AND ALL NECESSARY SERVICING, REPAIR, OR CORRECTION. FURTHER, MINERVA DOES NOT WARRANT, GUARANTEE, OR MAKE ANY REPRESENTATIONS REGARDING THE USE OF, OR THE RESULTS OF THE USE OF, THE PRODUCT IN TERMS OF CORRECTNESS, ACCURACY, RELIABILITY, CURRENTNESS OR OTHERWISE, AND YOU RELY ON THE PRODUCT AND RESULTS SOLELY AT YOUR OWN RISK.

Applicable Law

These Terms shall be governed by the laws of the State of New York.

Site Policies, Modification, and Severability

Please review our other policies, such as our End-User License Agreement for the Product and our Privacy Policy, posted on this site and accompanying the Product. These policies also govern your access to and use of Minerva’s website. Minerva reserves the right to make changes to its site, policies, and these Terms at any time. If any of these conditions shall be deemed invalid, void, or for any reason unenforceable, that condition shall be deemed severable and shall not affect the validity and enforceability of any remaining condition.
