This Privacy Policy of Minerva Health Technologies Inc. and its respective affiliates, subsidiaries and licensees (collectively referred to herein as “Licensor”) covers how your personal information is treated when you use Minerva Health Manager (the “Product”) and/or Licensor’s website, http://www.myminerva.com. Please take a moment to read the following to learn more about Licensor’s information practices, including what type of information is gathered, how the information is used and for what purposes, to whom Licensor may disclose information and under what circumstances, and how Licensor safeguards your personally identifiable information. Your privacy is a priority to Licensor.

Please also carefully review the Terms of Use on Licensor’s website and the End-User License Agreement (“EULA”) accompanying the Product for information regarding the terms and conditions governing your use of the Product.

Security of Your Health Information

To store your personal health-related information (“Health Information”), you will need to purchase the Product and upload your Health Information to a flash drive, internet server, local computer or other device. As set forth in the EULA, Licensor neither takes responsibility for nor warrants the accuracy or security of any personally identifiable information, medical or otherwise, uploaded, downloaded, submitted or saved on local or remote computers, flash drives or viewers and/or otherwise transmitted electronically by or to you through the use of the Product. Any interactive feature of the Product whereby you cause information to be collected, viewed and/or stored by a third party is done solely at your own risk. You and/or your health care provider are solely responsible for verifying the accuracy of any information collected, viewed and/or stored via use of the Product. Licensor takes no responsibility for any medical decisions undertaken or influenced via use of the Product, and same are solely at your risk.

You must carefully review and update your Health Information every time you log on to the Product. See the accompanying EULA for additional information on the importance of keeping your Health Information up-to-date and accurate.

You can increase the security of the information saved on your computer and flash drive by creating a username, password and/or pin number. Please choose a password that is easy for you to remember, yet difficult for others to guess. For greater security, you should use a password containing a combination of numbers and letters. If Licensor’s website permits you to create an online account, you must take the same precautions in choosing your online username and password. You are solely responsible for maintaining the confidentiality of your account by choosing a unique username and password, logging-out and closing all browser windows when finished with your session and restricting access to your computer. You agree to accept responsibility for all activities that occur through your account. There is always a risk that unauthorized parties may breach established security systems.

You are always in control of your Health Information. You are the only person with the ability to view or edit your Health Information. If you so choose, you can share the Health Information with others. Licensor will not sell, rent or share your Health Information without your express prior written consent, except if required to do so by Federal or state law. You can completely delete your Health Information at any time. Such deletions will take immediate effect.

Except as otherwise described in this Privacy Policy, any personal information you provide to Licensor will not be shared with any third party without your express permission.

The Product is not a medical device and is not intended and should not be used in the diagnosis, cure, mitigation, treatment or prevention of disease or other condition of the body.

Other Personal Information

Notwithstanding the foregoing, Licensor may, from time to time, collect personal information other than your Health Information (“General Information”), because it improves Licensor’s superior level of customer service, including giving you convenient access to Licensor products and services and focusing on categories of greatest interest to you. In addition, your General Information helps Licensor keep you posted on the latest product announcements, software updates, special offers, and events in which you may be interested.

What information Licensor collects and how Licensor may use it

There are a number of situations in which your General Information may help Licensor give you better products. For example:

  • You may be asked for your General Information when you’re discussing a service issue on the phone with an associate, downloading a software update, participating in an online survey, registering your products, or purchasing a product.
  • When you interact with Licensor, General Information relevant to the situation may be collected, such as your name, mailing address, phone number, email address, and contact preferences; your credit card information and information about the Licensor products you own, such as their serial numbers and date of purchase; and information relating to a support or service issue.
  • General Information, such as your occupation and where you use your computer, may also be collected for market research purposes, so Licensor can gain a better understanding of its customers and thus provide more valuable services.
  • Licensor collects General Information regarding customer activities on its website. This helps Licensor determine how best to provide useful information to customers and to understand which parts of the website, products and services are of most interest to them.
  • Licensor may use General Information to provide products that you have requested as well as for auditing, research, and analysis to improve Licensor’s products.
  • Licensor may use information to compile a health records database.

Publicly displayed information is public

You should be aware that any General Information you share online may be visible to other users, even if you attempt to delete or remove it. Personally identifiable information you submit to Licensor’s website or elsewhere may be read, collected, or used by other individuals to send you unsolicited messages. Licensor is not responsible for any personally identifiable information you choose to submit online.

When Licensor may disclose your information

Licensor takes your privacy very seriously. Licensor does not sell, license or rent your General Information to third parties. Licensor may occasionally hire other companies to provide limited services on its behalf, such as web site hosting, packaging, answering customer questions about products and services and sending information about its products, special offers and other new services. If Licensor provides your General Information to such companies, it only provides the information they need to deliver the service. They are required to maintain the confidentiality of the information and are prohibited from using that information for any other purpose.

Disclosure within the Licensor Companies

To help provide superior service, your General Information may be shared with Licensor’s affiliates, subsidiaries and licensees who will take steps to safeguard it in accordance with this Privacy Policy.

Disclosure to Third-Parties

There are also times when it may be advantageous for Licensor to make certain General Information about you available to companies that Licensor has a strategic relationship with or that perform work for Licensor to provide products and services to you on Licensor’s behalf. These companies may help Licensor process information, extend credit, fulfill customer orders, deliver products to you, manage and enhance customer data, provide customer service, assess your interest in Licensor’s products and services, or conduct customer research or satisfaction surveys. These companies are also obligated to protect your General Information in accordance with Licensor’s policies, except if you are informed otherwise at the time of collection.

At times Licensor may be required by law or litigation to disclose your General Information. Licensor may also disclose your General Information if it is determined that for national security, law enforcement, or other issues of public importance, disclosure is necessary.

How Licensor Protects your Information

Licensor is committed to protecting the security of your General and Health Information. Licensor uses a variety of administrative and technical measures, including various security technologies and procedures to help protect your information from unauthorized access, theft, misuse, alteration, disclosure or destruction.

You can help by also taking precautions to protect your General and Health Information when you are on the Internet. Change your passwords often using a combination of letters and numbers, and make sure you use a secure web browser when accessing the Internet.

Integrity of your Information

Licensor has safeguards in place to keep your General and Health Information accurate, complete, and up to date for the purposes for which it is used. Naturally, you always have the right to access and correct the General and Health Information you have provided. You can request a copy of your General and Health Information, your product registration history, and your interactions with sales and support agents by contacting Licensor.

Children

Licensor recognizes that parents, guardians, or other adults often purchase Licensor’s products for family use, including use by minors. Licensor does not knowingly collect any information from children under 13 for marketing purposes, but because some information is collected electronically, it can appear to be the information of an adult, and will be treated as such by this Privacy Policy. If a child under 13 submits information to Licensor and Licensor learns that such information is the information of a child under 13, Licensor will attempt to delete the information as soon as possible.

Cookies and other technologies

As is standard practice on many corporate websites, Licensor’s website uses “cookies” and other technologies to help Licensor understand which parts of the website are the most popular, where visitors are going, and how much time they spend there. They are also used to make sure that online advertising is bringing customers to Licensor’s products and services, to study traffic patterns on Licensor’s website and the effectiveness of Licensor’s customer communications. Cookies are also used to customize your experience and provide greater convenience each time you interact with Licensor.

If, however, you prefer not to enable cookies, please go to your web browser’s options or preferences to disable cookies. Please note that certain features of Licensor’s website may not be available once cookies are disabled.

As is true of most websites, certain information is gathered automatically and stored in log files. This information includes Internet Protocol (IP) addresses, browser type, Internet Service Provider (ISP), referring/exit pages, operating system, date/time stamp, and clickstream data. This information, which does not identify individual users, is used to analyze trends, administer the site, publish trend statistics, track users’ movements around the site and gather demographic information about Licensor’s user base as a whole. Licensor will not use the information collected to market directly to that person.

On Licensor’s website and in some of Licensor’s email messages there may be a “click-through URL” hyperlink, which, when clicked, may link customers to content on Licensor’s website or third-party websites via Licensor’s server. This click-through data is tracked to help determine interest in particular topics and measure the effectiveness of Licensor’s customer communications. If you prefer not to be tracked simply avoid clicking text or graphic links in emails or on the website.

In addition, Licensor may use pixel tags - tiny graphic images - to determine what parts of the website customers have visited or to measure the effectiveness of searches customers perform on the site. Pixel tags also allow Licensor to send email messages in a format customers can read, and to determine whether emails have been opened to ensure that only messages that are of interest to Licensor’s customers are sent. This information may be used to reduce or eliminate messages sent to a customer. Licensor stores all of this information in a secure database located at Licensor’s offices the offices of its affiliates or subsidiaries.

How Licensor Handles Privacy Internally

To make sure your information is secure, Licensor communicates these guidelines to its employees and strictly enforces privacy safeguards within the company.

Placing Orders; Payment Methods

Licensor sells and ships products to end user customers only. You may not purchase for resale. Licensor reserves the right to refuse or cancel your order if Licensor suspects you are purchasing for resale.

Licensor uses a secure website for billing purposes and your credit card information is safe when transmitted electronically to Licensor. After purchasing the Product be sure to print the purchase confirmation page and then close all browser windows, especially if using a public computer or a computer shared by others.

Licensor accepts most major credit cards as payment for the Product. When you use your credit card to make a purchase, Licensor may obtain a pre-approval from the credit card company for an amount up to the amount of the order. Billing to your credit card account occurs at the time of purchase or shortly thereafter. Licensor transactions will include sales tax, when applicable. Licensor accepts the following credit cards: Visa, MasterCard, Discover and American Express.

Licensor is unable to accept credit cards issued by banks outside of the United States or prepaid gift cards issued by credit card companies. Additionally, debit cards and check cards have daily spending limits that may prevent the processing of your order.

If a transaction has been declined online due to credit card issues, please ensure all data is correct and resubmit. If the transaction is not accepted online, you will be unable to use that card for your transaction and should use another credit card.

The Product is sold to you subject to the EULA for the Product, the Terms of Use and this Privacy Policy. Software is licensed, not sold, and title to all software remains with Licensor.

Naturally, if you notify Licensor that you do not want it to use your General or Health Information for a particular purpose, Licensor will not do so. Licensor may update this Privacy Policy from time to time. You should periodically review this Privacy Policy to stay informed about how Licensor is helping to protect your information. Your continued use of the Product constitutes your agreement to this Privacy Policy and any updates.
